PLEASE READ THESE SPOT TERMS OF SERVICE CAREFULLY. CUSTOMER AGREES TO THE TERMS OF THIS AGREEMENT ON THE EARLIER OF (A) THE DATE CUSTOMER CLICKS TO ACCEPT OR AGREE WHERE SUCH OPTION IS MADE AVAILABLE TO CUSTOMER, (B) THE DATE CUSTOMER ACTUALLY USES OR ACCESSES ANY COMPUTE PROVIDED BY COREWEAVE THROUGH ITS SPOT SERVICES (“SPOT SERVICES”), OR (C) WITH RESPECT TO AN ORDER FORM, THE EFFECTIVE DATE OF THE APPLICABLE ORDER FORM (“EFFECTIVE DATE”). These Spot Services Terms constitute an agreement (“Spot Services Terms”) by and between CoreWeave, Inc., a Delaware corporation (“CoreWeave”), and the corporation, LLC, partnership, sole proprietorship, other business entity, or individual (“Customer”) agreeing to these Spot Services Terms. CoreWeave and Customer may be referred to individually as a “Party” and together as the “Parties.” This Spot TOS is effective as of the Effective Date. Customer’s use of and CoreWeave’s provision of the Spot Services are governed by these Spot Services Terms. These Spot Services Terms are deemed incorporated into each applicable Order Form. This “Agreement” refers collectively to the applicable Order Form, if any, and the Spot Services Terms incorporated therein. The Parties agree as follows:
  1. The CoreWeave Terms of Service (“CoreWeave TOS”) shall apply to Customer’s use of Spot Services, and are incorporated herein by this reference. The Spot Services shall be considered “CoreWeave Services” defined under the CoreWeave TOS. Where the terms of the CoreWeave TOS conflict with those of this Agreement, the terms of this Agreement shall control. Capitalized terms used herein and not otherwise defined shall have the respective meanings set forth in the CoreWeave TOS.
  2. Customer may use the Spot Services available to Customer on an on-demand basis, provided that CoreWeave may remove Customer’s access to instances in any node pools under the Spot Services in accordance with the Documentation (“Preemption Process”).
  3. Customer acknowledges that the Preemption Process and the fees for Spot Services are subject to change at any time, in CoreWeave’s sole discretion, and shall be as set forth on CoreWeave’s website and the Documentation. For the avoidance of doubt, the SLO defined in the CoreWeave TOS does not apply to the Spot Services.
  4. This Agreement constitutes the entire agreement, and supersedes all proposals, oral or written, all negotiations, conversations, or discussions between or among parties relating to the subject matter of this Agreement and all past dealing or industry custom.
